To use Yiami, you must:

• Be at least 18 years old.
• Have the capacity to form a legally binding contract.
• Not be prohibited by any applicable law from using our Services.
• Have not been convicted of any violent, sexual, or serious offense.

We reserve the right to request proof of eligibility.

When creating an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain the confidentiality of your login credentials.
• Notify us immediately of any unauthorized use of your account.

You are responsible for all activities that occur under your account.

You can create an Account by using your Google or Apple Account login details. By using your Google or Apple login details, you authorize us to access, display and use certain information from your Google or Apple account (e.g. email address). For more information about what information we use and how we use it, please check out our Privacy Policy. By using our App, you acknowledge that we may collect and use of your data and information in accordance with our Privacy Policy.

Unfortunately, we cannot allow you to use another person’s Yiami account or to share your Yiami account with any other person without permission. You are responsible for ensuring that any use of your account complies with these Terms.

You agree to use Yiami in a respectful, lawful, and safe manner. By using the Services, you represent and warrant that your activities are lawful in every jurisdiction where you access or use the Services. Specifically, you will not:

• Harass, intimidate, threaten, or abuse others.
• Upload or share content that is unlawful, discriminatory, hateful, violent, or sexually explicit.
• Impersonate any person or entity or falsely state your affiliation.
• Use bots, crawlers, or scraping tools.
• Collect or solicit personal data from other users.
• Comply with all applicable laws, rules, and regulations, and refrain from violating or infringing the rights of any third party.

Violations may result in suspension, termination, or legal action. 

Yiami may send you emails, text messages, push notifications, alerts, and other communications about the App and our Services, including updates, promotions, and event invitations. After downloading the App, you can choose to allow or deny push notifications. If you allow them, you may later opt out by adjusting your device settings.

The Yiami App also uses your device's location services (such as GPS, Bluetooth, and Wi-Fi) to help you discover other Users, Businesses, Hubs, Groups and Events nearby, and to match you with people and activities close to you. If you disable location services or deny location access, certain features may not function properly. The App may allow access to or make available opportunities for you to view certain content and receive other products, services and/or other materials based on your location. If you have set your mobile device to disable GPS, Bluetooth or other location determining software or do not authorise the App to access your location data, you will not be able to access such location-specific content, products, services and materials. For more details about how we collect, use, and store your location data, please refer to our Privacy Policy.

Yiami grants you a limited, non-exclusive, revocable license to access and use our Services.

You agree not to:

• Decompile, reverse engineer, or disassemble any part of Yiami.
• Circumvent, disable, or otherwise interfere with security-related features.
• Reproduce, duplicate, copy, sell, or exploit any part of Yiami without express written permission.

Yiami does not conduct criminal background checks. You are solely responsible for your interactions with other users. Exercise caution, use good judgment when interacting online and offline.

You may access and use Yiami’s core Services free of charge. However, certain premium features, content, or functionalities may be available exclusively through paid subscriptions or one-time purchases ("Paid Features"). If you choose to access these Paid Features, the following terms apply:

• Subscription Terms and Pricing

Details of subscription tiers, pricing, and billing cycles will be clearly disclosed at the point of purchase. All prices are subject to change, but you will be notified in advance of any pricing changes that may affect your current subscription.

• Auto-Renewal and Cancellation

Subscriptions automatically renew at the end of each billing cycle unless canceled at least 24 hours before the end of the current period. You may cancel your subscription at any time through your device’s platform settings (e.g., Apple App Store or Google Play Store). Deleting the app or disabling your account does not cancel your subscription.

• Payment Authorization and Processing

By making a purchase, you authorize Yiami or its designated third-party payment processors to charge the selected payment method (such as credit card, debit card, PayPal account, or in-app purchase platform). If your payment method fails or is declined, you agree to promptly pay all outstanding amounts upon demand. Yiami is not responsible for any bank fees, currency conversion charges, or transfer fees imposed by your financial institution.

• In-App Purchases and Third-Party Platforms

Payments made through Apple’s App Store or Google Play Store are processed by those respective platforms. Yiami does not control their billing systems and cannot issue refunds for purchases made through them. Any refund requests must be directed to the platform provider (Apple or Google). Yiami does not store or process your payment information directly.

• Account Status After Subscription Cancellation

Because Yiami’s Services can be used without a subscription, canceling your subscription does not automatically delete your profile or account. To remove your profile, you must delete your account through the app “Profile”.

• Free Trials and Promotional Offers

Yiami may offer free trials or promotional pricing from time to time. At the end of the trial or promotional period, the standard subscription rate will apply unless canceled beforehand. Only one trial per user may be permitted unless otherwise stated.

Yiami may update these Terms periodically. Material changes will be communicated through the App or via email. Continued use of Yiami after changes are made constitutes your acceptance of the revised Terms.

• Suspension and Termination by Yiami

We reserve the right, at our sole discretion, to suspend, disable, or terminate your access to your Account and/or our Services at any time and without notice if we reasonably believe that you have violated these Terms, our Privacy Policy, or our Community Guidelines, or if your behavior poses a risk of harm, loss, or liability to Yiami, its users, or third parties. Yiami may suspend and/or terminate access to the App and/or the Account, or some of its functionalities, in situations related to maintenance or updates and/or dependent on causes beyond Yiami's control.

• Account Deletion by User

You may delete your Account at any time by accessing the ‘Account’ page within the app when logged in and clicking the ‘Delete Account’ link. Once your Account is deleted, you will lose access to your Account and any associated information, content, or features.

• Effect of Termination

Termination of your Account or these Terms will result in the immediate revocation of access to our Services and the deletion of your Account data, subject to our data retention practices as described in the Privacy Policy. You acknowledge that termination may involve permanent loss of your Account and all associated content. 

• Data Retention and Deletion

Upon Account deletion or termination, your personal information will be maintained and deleted in accordance with our Privacy Policy. We may retain certain information as required by law or for legitimate business purposes, such as fraud prevention, dispute resolution, or enforcement of our agreements.

Notwithstanding the termination of your Account or these Terms, the following provisions will continue to apply and remain in effect: ownership rights, warranty disclaimers, indemnity obligations, limitations of liability, dispute resolution terms, and any other provisions which by their nature are intended to survive termination.

Yiami provides Services “as is” and “as available” without warranties of any kind.

To the fullest extent permitted by law, Yiami disclaims all warranties, express or implied, and is not liable for:

• Any user conduct or User Content posted, transmitted, or otherwise made available via the Services;
• Any offline interactions, meetings, or events that occur between users or between users and third parties;
• The accuracy, reliability, timeliness, completeness, security, or performance of the Services;
• Service interruptions, bugs, viruses, errors, or data loss you may experience while using the Platform;
• Any content, information, advice, goods, or services obtained through the Platform or advertised by third parties, including links to third-party websites or resources;
• Dealings, communications, or transactions with marketing partners, advertisers, or other third parties found on or through our Platform.
• Any deletion, requested by the same or by businesses, of the data communicated during registration or subsequently may make it impossible for Yiami to guarantee the continuation of the Service in the event that the data whose deletion is requested are considered essential for the purposes of the Service itself. 

To the extent permitted by applicable law, Yiami’s total cumulative liability to you for any and all claims arising out of or relating to these Terms, your use of the Platform, or your reliance on the Services will not exceed the greater of: (a) the total amount you paid to Yiami, if any, in the twelve (12) months preceding the claim; or (b) one hundred Euros (€100).

You acknowledge and agree that your use of the Services is at your sole risk. You are solely responsible for your interactions with other users and for exercising caution in all interactions, whether online or offline.

All the actions you make and information you post on Yiami remain your responsibility. Therefore, you agree to indemnify, defend, release, and hold us, and our partners, licensors, affiliates, contractors, officers, directors, employees, representatives and agents, harmless, from and against any third party claims, damages (actual and/or consequential), actions, proceedings, demands, losses, liabilities, costs and expenses (including reasonable legal fees) suffered or reasonably incurred by us arising as a result of, or in connection with:

1. any negligent acts, omissions or willful misconduct by you;
2. your access to and use of the App;
3. the uploading or submission of Content to the App by you;
4. any breach of these Terms by you; and/or
5. your violation of any law or of any rights of any third party.

We retain the exclusive right to settle, compromise and pay any and all claims or causes of action which are brought against us without your prior consent. If we ask, you will co-operate fully and reasonably as required by us in the defence of any relevant claim.

The foregoing provision does not require you to indemnify Animic s.r.l. for any unconscionable commercial practice or any fraud, deception, false promise, misrepresentation or concealment, suppression or omission of any material fact in connection with the App.

The User expressly acknowledges that all intellectual property rights, which can be protected on the basis of the rules relating to copyright or other provisions such as the Industrial Property Code, including, but not limited to, know-how, source code, software, hardware, projects, applications, patents, industrial secrets, formulas, algorithms, models, databases and similar, relating to the Services, data and other materials coming from Yiami or otherwise made available to the User by Animic s.r.l., are and remain the property of Animic s.r.l. and/or the subjects of which it is the legitimate licensee. 

It is understood that the User may not copy, modify, sell, assign, licence, confer, transfer to third parties or create derivative works from the data and materials, and more generally violate the intellectual property rights of Yiami and/or its legitimate licensees, as well as perform so-called "reverse engineering" activities, decode, disassemble or otherwise attempt to obtain the source code or the structure of any content of the Service and the App, modify or remove any copyright or other proprietary notices present on the App and/or its contents, or allow third parties to do so through the User or his/her electronic device. The User must not access/facilitate the transfer of/show or store the data made available as part of the Service, outside the App, by way of example but not limited to, by means of one of the following methods: scraping, crawling, spidering or using other technologies or software. 

These Terms, together with our Privacy Policy, Community Guidelines, and any other policies or legal notices made available by Yiami, constitute the complete and exclusive understanding between you and Yiami regarding your access to and use of the Services. They supersede all prior agreements, communications, and understandings, whether written or oral, relating to the subject matter hereof. This does not affect any mandatory consumer rights provided by law.

• Accuracy and Availability of Services

While Yiami strives to provide a positive, reliable, and safe environment, we make no guarantees regarding the completeness, accuracy, availability, or error-free nature of our Services. Use of Yiami and any materials obtained through it is at your own risk. We do not guarantee that the Services will always be uninterrupted, secure, or free from bugs, viruses, or other harmful components.

• User Responsibility

It is your responsibility to take appropriate precautions to ensure that any content or materials accessed from Yiami are free of malware, viruses, or other harmful components. You acknowledge that you are solely responsible for securing your own devices and data.

• Community Guidelines

By using Yiami, you agree to abide by our Community Guidelines set forth in Annex 1 – Yiami Community Guidelines, which form an integral and binding part of these Terms and apply to all activity both on and off the platform where relevant.

• Electronic Communications

By using Yiami, you consent to receive communications from us electronically, including notices, agreements, disclosures, or other information. You agree that all communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

• Changes to the Terms

Yiami may amend, modify, or update these Terms from time to time. If changes are made, we will post the updated Terms with a new effective date. We may also notify you through the app or via email where appropriate. Your continued use of Yiami after the changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you must stop using Yiami and delete your account.

• Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be removed and the remainder of the Terms will continue to be valid and enforceable.

• No Waiver

Yiami’s failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

• Assignment
  You may not assign, transfer, or delegate any of your rights or obligations under these Terms without Yiami’s prior written consent. Yiami may freely assign or transfer these Terms without restriction.

• International Use and Data Transfers

Yiami operates globally. By accessing or using our Services, you understand and agree that your information may be processed, stored, and transferred across national borders, including to jurisdictions that may not provide the same level of data protection as your home country. We handle your personal data in accordance with our Privacy Policy.

• Third-Party Links and Services

Yiami may contain links to third-party websites, resources, or services that are not owned or controlled by Yiami. We are not responsible for the availability, accuracy, content, or practices of these external sites or resources. Inclusion of any links does not imply endorsement. You access and use third-party services at your own risk.

• Export Controls

By using Yiami, you represent and warrant that you are not located in a country subject to U.S. or EU government embargoes, or that has been designated by the U.S. or EU governments as a "terrorist supporting" country, and that you are not listed on any U.S. or EU government list of prohibited or restricted parties.

• Language and Interpretation

In the event of any discrepancy between the English language version of these Terms and any translated versions, the English version shall prevail.

California residents may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N-112, Sacramento, California 95834, USA, or by telephone at (800) 952-5210.

You agree to resolve disputes with Yiami through binding individual arbitration and waive your right to participate in class actions, collective actions, or representative actions. Unless otherwise agreed in writing by both parties, arbitration shall be conducted in accordance with the applicable rules of the jurisdiction specified below.

This agreement is governed by the laws of the Italian State. If any provision of this agreement is found to be invalid, void, or otherwise unenforceable under applicable law, the remaining provisions shall nevertheless remain in full force and effect. 

In case of disputes:

• If the User is resident within the territory of the Italian Republic, the competent court will be that of the User’s place of residence.
• If the User is resident and domiciled outside the territory of Italy, the Court of Rome (Foro di Roma) shall have exclusive jurisdiction. This is without prejudice to any mandatory provisions for the protection of consumer rights under applicable law.

Unless otherwise agreed, any arbitration shall be administered by the Chamber of Commerce of Rome under its rules in force at the time the dispute arises.

Pursuant to and for the purposes of EU Regulation No. 524/2013, consumers may also seek to resolve disputes through the Online Dispute Resolution (ODR) platform, accessible at: http://ec.europa.eu/consumers/odr/.

Special Provisions for U.S. Residents

Notwithstanding the above, if you are a resident of the United States, and if applicable law prohibits the application of Italian law or the exclusive jurisdiction of the Court of Rome, then the laws of your U.S. state of residence shall govern any claims arising out of or relating to these Terms, without regard to conflict of laws principles. You further agree that any legal proceedings will be brought exclusively in the courts located in your state of residence.
